Noor is a Senior Associate in the Corporate and Commercial Department at Bait Al Qanoon, having joined the firm in 2021. Before this, Noor completed her training at an international law firm. Noor advises local and international clients on a broad scale of corporate, commercial, foreign direct investment and regulatory matters.

Experience

• Advising a UK-based logistics company on its Omani subsidiary, including the statutory liabilities, responsibilities, and potential exposures of authorised managers and signatories under Omani law, in addition to its restructuring which involves the transfer of shareholdings from U.S. based entities to a U.K. based holding company and the conversion of its Oman entity from a Limited Liability Company to a Sole Proprietorship Company.
• Reviewing and advising on a shareholders' agreement between a UK education operator and an Omani government fund following the merger of multiple funds into the Social Protection Fund, including analysis of the legal implications arising from the transfer of assets and liabilities and related contractual considerations.
• Advising on the establishment and structuring of a Holding Company and a Project Company under a unified group framework, both incorporated as joint stock companies operating in the energy sector. Advising private shareholders, Board members, and authorised signatories on statutory roles, fiduciary duties, and delegated authorities, as well as supporting corporate governance processes by preparing for and attending AGMs, EGMs, and Board of Directors' meetings in the capacity of Legal Advisor.
• Advising on and drafting policy frameworks on sanctions compliance, anti-money laundering, counter-terrorist financing and anti-bribery and corruption, including third-party risk management and due diligence programmes.
• Advising a French investor on the legal due diligence for a proposed joint venture with an Omani gypsum mining licence holder, to develop mining operations in Oman. The due diligence covered licences, permits and certificates, material and ongoing agreements, financing documents, employment contracts, real property and IP, resulting in a full issues list for the client. Reviewing and negotiating the Share Sale and Purchase Agreement and Shareholders' Agreement from an Omani law perspective.
